Terms and Conditions for Number Plate Manufacturers

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between Protect-A-Plate, a trading name of Protect-A-Plate Ltd, having its registered office in England and Wales, and the Manufacturer(hereinafter referred to as the “Manufacturer” or “Provider”) regarding the integration, reporting, and verification services associated with the Protect-A-Plate security ecosystem.

By enrolling as an authorized manufacturer within the Protect-A-Plate network or by accessing the Protect-A-Plate encrypted database for plate registration, the Manufacturer agrees to be bound by these terms.

1. Definitions

  • “The Company” refers to Protect-A-Plate.
  • “Services” refers to the secure registration, smart detection, and instant alert system provided by Protect-A-Plate to prevent number plate cloning.
  • “Database” refers to the Company's proprietary, encrypted global tracking database.
  • “Plate Credentials” refers to the unique identification data, including but not limited to the registration mark, V5C reference details, and manufacturer-specific serial numbers.
  • “Cloning” refers to the unauthorized duplication or fraudulent use of a vehicle's registration mark.

2. Partnership Overview

The Manufacturer acknowledges that Protect-A-Plate provides a specialized security layer designed to prevent and detect number plate cloning. The Manufacturer's role is to ensure that each legally produced number plate is logged within the Company's Database at or before the point of supply (as applicable) to establish a reliable “source of truth” for plate provenance and verification.

3. Data Sharing & Database Integration

3.1. Integration and Access: The Company grants the Manufacturer a non-exclusive, non-transferable, revocable right to access the Protect-A-Plate portal and encrypted Database solely for the purpose of submitting Plate Credentials, performing lookups where permitted, and receiving system responses relevant to lawful manufacture and supply.

3.2. Data Submission Requirements: The Manufacturer shall accurately record and upload the Plate Credentials to the Database immediately upon production (or such other timeframe agreed in writing). The submission must include the unique security identifier provided by the Company and any additional required fields communicated by the Company from time to time.

3.3. Data Quality and Format: The Manufacturer shall submit data in the format required by the Company's API/portal specifications (as updated from time to time) and shall implement reasonable validation checks to reduce errors, including duplicate detection and mandatory field completion.

3.4. Duplicate and Replacement Protocols: The Manufacturer shall not submit duplicate Plate Credentials for a single registration mark unless permitted under an agreed replacement, re-make, or correction workflow and only after completing required verification steps.

3.5. System Availability: The Company will use reasonable efforts to make the Database available. Where the portal/API is unavailable, the Manufacturer must follow any contingency process communicated by the Company and submit any backlog data as soon as reasonably practicable once service resumes.

4. Confidentiality & Security

4.1. Confidential Information: Each party may receive confidential or proprietary information relating to the other party's business, systems, customers, pricing, specifications, security features, and the Database (“Confidential Information”). Confidential Information does not include information that is publicly available through no breach of this Agreement.

4.2. Confidentiality Obligations: Each party shall keep the other party's Confidential Information confidential and shall not disclose it to any third party except to its personnel and professional advisers who need to know it for the purposes of this Agreement and who are bound by confidentiality obligations no less protective than those in this Agreement.

4.3. Security Measures: The Manufacturer must maintain appropriate technical and organisational measures to protect access to the Protect-A-Plate portal/Database, including strong access controls, unique user accounts, and prompt removal of access for departed staff.

4.4. Incident Reporting: Any actual or suspected security incident, unauthorized access, or breach of the Manufacturer's systems that may compromise the Database or Plate Credentials must be reported to the Company without undue delay and in any event within four (4) hours of discovery, together with relevant details known at the time.

4.5. No Reverse Engineering / Misuse: The Manufacturer shall not attempt to reverse engineer, bypass, or compromise the Company's security controls or monitoring, nor use the system in any manner that is unlawful or not expressly permitted by this Agreement.

5. Compliance with UK Number Plate Regulations

5.1. Regulatory Standards: The Manufacturer warrants that all number plates produced and supplied comply with the current British Standard (BS AU 145e or any successor standard) and all applicable DVLA regulations and legal requirements.

5.2. Verification of Authority: The Manufacturer must perform all legally required checks (including, where applicable, viewing original documentation such as V5C and proof of identity/entitlement) before producing a plate and registering it within the Protect-A-Plate system.

5.3. Audit Cooperation: The Manufacturer shall, on reasonable request, provide information and cooperation necessary for the Company to verify compliance with this Agreement and applicable number plate manufacturing/supply regulations, provided the Company acts reasonably and in a way that minimises disruption.

6. Liability for Data Accuracy

6.1. Manufacturer Responsibility: The Manufacturer is responsible for the accuracy, completeness, and lawfulness of all Plate Credentials and other data it submits to the Database.

6.2. Company Non-Liability for Submitted Data: The Company shall not be liable for legal, financial, or operational consequences arising from incorrect, incomplete, or fraudulent data submitted by the Manufacturer or arising from the Manufacturer's failure to perform required verification checks.

6.3. Correction of Errors: The Manufacturer must promptly notify the Company upon becoming aware of any error in submitted data and shall cooperate to correct or annotate records using the Company's agreed workflows.

7. Fees and Payments

7.1. Service Fees: The Manufacturer agrees to pay the Company the agreed-upon integration or per-plate registration fees as outlined in the separate Commercial Schedule.

7.2. Late Payments: Failure to settle invoices within the agreed terms may result in the suspension of the Manufacturer's access to the Database and the de-activation of security alerts for plates produced by that Manufacturer.

8. Intellectual Property

8.1. Ownership: All intellectual property rights in the Protect-A-Plate database, software, smart detection algorithms, and brand assets remain the sole property of the Company.

8.2. Trademarks: The Manufacturer may display the “Protected by Protect-A-Plate” logo on their premises and website, provided they remain an active, authorized partner in good standing.

9. Liability and Indemnity

9.1. Accuracy of Information: The Company shall not be liable for any legal or financial complications arising from the Manufacturer entering incorrect or fraudulent data into the Database.

9.2. Indemnity: The Manufacturer agrees to indemnify and hold harmless Protect-A-Plate against any claims, losses, or legal costs arising from the Manufacturer's failure to comply with DVLA regulations or the terms of this Agreement.

9.3. Service Availability: While the Company strives for 100% uptime of the Alert System, it does not guarantee uninterrupted service and shall not be liable for damages resulting from temporary system outages.

10. Termination

10.1. Termination for Cause: Either party may terminate this agreement immediately if the other party breaches a material term.

10.2. Effect of Termination: Upon termination, the Manufacturer's access to the Database will be revoked. However, data previously uploaded for the protection of vehicle owners will remain in the encrypted archive to maintain the integrity of the tracking service.

11. Show Plate Registration

11.1. Definition: A show plate is a decorative number plate that does not correspond to a registered vehicle and is not supported by a V5C document. Show plates are produced for display purposes only and must not be used on any vehicle driven on a public road.

11.2. Mandatory Registration: The Manufacturer must register every show plate produced within the Protect-A-Plate Database at the point of manufacture, regardless of the absence of a V5C document.

11.3. Customer Details Requirement: Prior to producing a show plate, the Manufacturer must collect and submit the following details of the person requesting the plate:

  • Full name and home address
  • A clear photograph of the individual
  • Contact details (phone number and/or email)

11.4. Record Creation: Upon production, the Manufacturer shall submit a complete record to the Database including the show plate details and all customer information collected under clause 11.3.

11.5. Disclosure to Law Enforcement: In the event that a show plate is identified as being used illegally on a vehicle on a public road, Protect-A-Plate reserves the right to provide the recorded customer details and photograph to law enforcement agencies upon formal request.

11.6. Manufacturer Liability: The Manufacturer accepts full responsibility for collecting accurate customer details before producing any show plate. Failure to submit the required information to the Database may result in the immediate suspension of the Manufacturer's access to the Protect-A-Plate system.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the English courts.
